Parties Involved:

Service Provider: XYZ Services Pty Ltd
Address: 123 Business Road, Sydney, NSW 2000

Client: ABC Corporation Pty Ltd
Address: 456 Corporate Avenue, Melbourne, VIC 3000

Scope of Work:

The Service Provider shall deliver the services as detailed in Schedule A, including but not limited to consulting, support, and project management, in accordance with this Agreement and applicable Australian laws.

Payment Terms:

The Client shall pay the Service Provider fees as specified in Schedule B. Payments shall be made within 30 days of receipt of an invoice, following completion of milestones or deliverables.

Responsibilities of the Service Provider:

The Service Provider agrees to perform the services diligently, in accordance with industry standards, Australian regulations, and the scope outlined in Schedule A.

Governing Law:

This Agreement shall be governed by the laws of New South Wales, Australia. Any disputes shall be resolved in the courts of Sydney, NSW.

Confidentiality & Intellectual Property:

Both parties agree to maintain confidentiality of proprietary information and IP rights as specified in Schedule C.

Term and Termination:

This Agreement commences on the Effective Date and continues for an initial period of 12 months, subject to renewal or early termination as per the terms herein.

Miscellaneous Provisions:

• Both parties shall adhere to all relevant Australian laws and regulations.
• Any amendments must be in writing and signed by both parties.
• Liability limitations and indemnities are detailed in Schedule D.
