Purpose of Agreement:

The Parties wish to disclose certain confidential information for the purpose of evaluating a potential business relationship, subject to the terms of this NDA.

Definition of Confidential Information:

Confidential Information includes all non-public, proprietary, or sensitive information disclosed by the Disclosing Party to the Receiving Party, whether in written, oral, electronic, or other form.

Obligations of the Receiving Party:

The Receiving Party shall keep all Confidential Information strictly secret, use it solely for the Purpose, and not disclose it to any third party without prior written consent from the Disclosing Party.

Exclusions:

Confidential Information does not include information that is publicly available, rightfully received from a third party, independently developed, or disclosed with prior consent.

Term:

This agreement shall commence on the date signed below and continue for a period of 2 years unless terminated earlier by written notice.

Governing Law:

This NDA shall be governed by the laws of the State of New South Wales, Australia. Disputes shall be resolved within the courts of Sydney.

Additional Provisions:

• Both parties agree to return or destroy all Confidential Information upon termination or request.
• This agreement may only be amended in writing signed by both parties.
